1. Definitions
"Platform"
The Vexil SecurePass web application, APIs, and all associated services.
"Client"
The event organiser, agency, or business that registers for and uses the Platform.
"Guest"
An event attendee whose data is uploaded to the Platform by a Client.
"Event"
A single time-bounded occasion for which the Client deploys the Platform.
"Pass"
A unique, cryptographically generated QR credential issued to a Guest for a specific Event.
"Burn-on-Scan"
The Platform's core mechanism by which a Pass is permanently invalidated globally upon its first successful scan.
2. The Service
Vexil Technologies Ltd. grants Clients a non-exclusive, non-transferable, limited licence to access and use the Platform for managing access control at events, subject to these Terms and payment of applicable fees.
The Platform is provided as a software-as-a-service (“SaaS”). We reserve the right to modify, suspend, or discontinue any feature or the Platform as a whole with reasonable notice to Clients.
3. Account Registration
- You must provide accurate, complete, and current information when registering an account.
- You are responsible for maintaining the confidentiality of your login credentials. You may not share your account with any third party.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at hello@vexil.com if you suspect unauthorised access to your account.
- We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.
4. Permitted Use
The Platform is licensed solely for legitimate event access control. You agree to use the Platform only to:
- ✓Manage access to events for which you are the organiser or authorised agent.
- ✓Upload guest lists belonging to events you are lawfully organising.
- ✓Operate gate terminals at physical event venues.
- ✓Export audit data for your own compliance and reporting purposes.
5. Prohibited Use
You must not:
- ✕Use the Platform to gain or facilitate unauthorised access to any premises or event.
- ✕Attempt to circumvent, reverse-engineer, or exploit the Burn-on-Scan enforcement mechanism.
- ✕Upload guest data for events you are not authorised to manage.
- ✕Use the Platform in a manner that violates applicable data protection law (including the NDPA 2023 or equivalent regulation in the Client's jurisdiction).
- ✕Resell, sublicense, or white-label the Platform without express written consent from Vexil Technologies Ltd..
- ✕Use automated scripts, bots, or scrapers against the Platform's APIs.
- ✕Upload content that is illegal, defamatory, or infringes third-party intellectual property rights.
6. Fees and Payment
- Pricing is per-event. Current pricing is displayed on our Pricing page and is subject to change with 14 days’ notice to existing Clients.
- Payment is due before event activation. Events will not be activated until payment is confirmed.
- Fees are non-refundable once an event has been activated and passes have been generated, except in the case of Platform failure attributable solely to us.
- All prices are quoted in applicable local currency (NGN or equivalent) unless explicitly stated otherwise.
7. Client Data Responsibilities
You are the data controller for all Guest data you upload to the Platform. You warrant that:
- You have a lawful basis under applicable law to collect and process Guest data.
- You have informed Guests that their information may be processed for event access management purposes.
- The Guest data you upload does not contain sensitive personal information beyond what is necessary for access control (name, contact details, tier assignment).
- You will not upload data belonging to individuals under the age of 18 without appropriate parental consent.
Vexil Technologies Ltd. processes Guest data solely as a data processor acting on your instructions, in accordance with our Privacy Policy.
8. Intellectual Property
All intellectual property in the Platform — including software, architecture, design, trademarks, and the “Burn-on-Scan” methodology — is owned exclusively by Vexil Technologies Ltd.. These Terms grant you a limited licence to use the Platform; they do not transfer ownership of any intellectual property.
You retain ownership of the guest list data you upload. You grant us a limited licence to process that data solely for the purpose of delivering the service.
9. Service Availability and SLA

Uptime target for core scanning and invalidation services
Planned maintenance will be communicated at least 48 hours in advance, and will not be scheduled within 12 hours of a Client’s registered event time.
In the event of an outage during an active event, we will apply service credits at our discretion. We strongly recommend Clients maintain a backup MiFi device at event gates to ensure network resilience.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability to you for any claim arising from your use of the Platform shall not exceed the fees you paid for the specific Event to which the claim relates.
- We are not liable for indirect, consequential, or incidental damages including loss of profits, loss of reputation, or event revenue loss.
- We are not responsible for physical security failures at your venue. The Platform is a digital access control tool — enforcement at the gate remains the Client’s operational responsibility.
- We are not liable for network failures or connectivity issues outside our infrastructure (e.g., local ISP outages at your venue).
11. Indemnification
You agree to indemnify, defend, and hold harmless Vexil Technologies Ltd. and its officers, directors, and employees from any claim, loss, or damage arising from: (a) your use of the Platform in violation of these Terms; (b) Guest data you uploaded without a lawful basis; or (c) any event security incident attributable to your operational decisions rather than Platform failure.
12. Termination
- You may close your account at any time. Closure does not entitle you to a refund for activated events.
- We may suspend or terminate your account immediately if you breach these Terms, without liability to you.
- On termination, your data will be deleted according to the retention schedule in our Privacy Policy.
13. Governing Law
These Terms are governed by the applicable laws of the jurisdiction in which Vexil Technologies Ltd. operates. Any disputes shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the Client's or Provider's location.
14. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated to registered Clients via email with at least 14 days’ notice. Continued use after the effective date of revised Terms constitutes acceptance.
